Printonic Terms of Service

Existing users must accept this updated version to continue using Printonic.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Seller," "You," or "Your") and Printonic, LLC, a Wyoming limited liability company ("Printonic," "We," "Us," or "Our").

By registering for or using the Printonic platform (the "Service"), You agree to be bound by these Terms, our Privacy Policy, and all applicable laws. If You do not agree, You must not use the Service.

1. Eligibility and Acceptance

By creating an account, You represent and warrant that:

  • You are at least 18 years old and legally capable of entering into binding agreements.
  • You are using the Service for lawful business purposes only.
  • All information You provide is true, complete, and current.

Printonic reserves the right to reject, suspend, or terminate any account, with or without notice, at its sole discretion.

2. Fulfillment and Our Role

To produce and ship Your orders, Printonic works with a network of manufacturers, printers, suppliers, and logistics companies ("Third-Party Fulfillment Partners"), which We may engage at Our discretion. We select and coordinate these partners, and We stand behind the orders We fulfill for You.

If a Third-Party Fulfillment Partner makes an error, or a defect or other issue arises with an order We fulfilled, We will work with You in good faith to make it right through the reprints, replacements, refunds, credits, or other remedies described in Section 7 (Product Fulfillment, Shipping, and Delivery). Those remedies are Your exclusive remedies for fulfillment issues, and Our support does not remove Your responsibility for the Content, product selections, and order details You submit.

You also acknowledge and agree that:

  • Production and delivery timelines are estimates and can be affected by factors outside Our or Our partners' reasonable control, so We cannot guarantee specific dates (see Section 7.1);
  • Our responsibility for any fulfillment issue is to provide the remedies described in these Terms, and Our overall liability is limited as set out in Section 12 (Limitation of Liability);
  • For events genuinely outside Our reasonable control, including those described in Section 14 (Force Majeure), We are not liable, though We will still help where We reasonably can.

Nothing in this Section limits any remedy expressly provided to You elsewhere in these Terms.

3. Independent Contractor Status

You acknowledge and agree that:

  • You are operating as an independent contractor, not as an employee, agent, joint venturer, or partner of Printonic;
  • Nothing in these Terms or Your use of the Service shall be construed to create any employment, partnership, agency, or fiduciary relationship between You and Printonic;
  • You have no authority to bind Printonic or make representations on its behalf;
  • You are solely responsible for all taxes, insurance, licensing, and compliance obligations arising from Your business activities.

You further agree not to represent Yourself as affiliated with, endorsed by, or acting on behalf of Printonic in any way other than as a user of its platform.

4. Intellectual Property Compliance

4.0. Platform Neutrality

Printonic operates solely as a passive, neutral technology and fulfillment platform. Printonic does not create, select, design, edit, curate, review, approve, endorse, or control Seller Content and does not determine the legality or appropriateness of any Content uploaded by Sellers.

All Content is uploaded, managed, and distributed at the sole direction of Sellers.

4.1. Seller Responsibility

You are solely responsible for ensuring that all designs, text, graphics, images, trademarks, logos, and other content ("Content") You upload or use through the Service:

  • Are legally owned or properly licensed to You;
  • Do not infringe or violate any copyrights, trademarks, publicity rights, privacy or other intellectual property rights;
  • Do not contain obscene, defamatory, or unlawful material.

Printonic does not review or pre-screen Content for legal compliance and assumes no liability for any infringement or misuse.

4.2. Indemnification

You agree to defend, indemnify, and hold harmless Printonic, its officers, directors, managers, employees, affiliates, and partners from and against any and all claims, damages, losses, liabilities, penalties, attorney fees, and expenses arising out of:

  • Any claim of intellectual property or privacy right infringement;
  • Any violation of law or regulation;
  • Any breach of these Terms;
  • Any dispute between You and Your customers or third parties.

This indemnification obligation is immediate, absolute, survives termination of Your account and is not limited to claims involving breaches of intellectual property rights.

4.3. Zero-Tolerance Policy

Printonic enforces a zero-tolerance policy for intellectual property, privacy rights, or other violations of laws or regulations.

If You upload or sell infringing Content, Printonic may, without prior notice or refund:

  • Remove the Content and related listings;
  • Suspend your account pending resolution of any claims;
  • Terminate Your account permanently;
  • Forfeit any unpaid earnings or orders;
  • Notify rights holders or law enforcement of known violations;
  • Cooperate with law enforcement or rights holders;
  • Seek recovery of all legal and administrative costs incurred.

4.4. DMCA Copyright Policy

Printonic complies with the Digital Millennium Copyright Act ("DMCA"). If you believe content on the platform infringes your copyright, you may submit a DMCA takedown notice to:

Upon receipt of a valid notice, Printonic will expeditiously remove or disable access to the allegedly infringing material and may terminate repeat infringers.

5. Platform Use

You agree not to:

  • Circumvent, disable, or interfere with platform functionality or security;
  • Misrepresent Your identity or affiliation;
  • Engage in fraudulent, deceptive, offensive or abusive conduct;
  • Attempt to copy, replicate or reverse engineer the Service or its functions;
  • Attempt to circumvent Printonic's Service by directly contracting with or using Printonic's third party providers;
  • Upload or distribute malware or unauthorized code.

Printonic may monitor activity, remove Content, or suspend accounts at its discretion.

6. EU Product Safety and Regulatory Compliance (GPSR)

If You offer, sell, or ship products to consumers in the European Union or Northern Ireland, You are solely responsible for complying with the EU General Product Safety Regulation (Regulation (EU) 2023/988) ("GPSR") and all other applicable product-safety, labeling, and marketplace requirements. This includes, at a minimum, identifying the manufacturer, providing required safety information, warnings, instructions, and labeling, maintaining any required technical documentation, and, where You are established outside the EU, designating an EU-based responsible person (authorized representative) whose name and contact details appear on or with the product or listing.

If You are located in the EU, list Your own postal and contact details as the manufacturer. If You are located outside the EU, list Your name, address, and email address as the manufacturer and designate an EU responsible person. For Your convenience, You may designate the following EU authorized representative as Your responsible person for GPSR purposes:

You remain solely responsible for Your product-safety and regulatory compliance in every market where You sell. Making an authorized representative available is an accommodation only and does not make Printonic the manufacturer, producer, importer, or responsible person for Your products, and does not transfer any of Your compliance obligations to Printonic.

7. Product Fulfillment, Shipping, and Delivery

7.1. Service Levels and Shipping Timelines

Any service level agreements ("SLAs"), production timelines, shipping estimates, or delivery windows provided by Printonic are estimates only and are intended solely for operational planning purposes.

Printonic does not guarantee shipment or delivery dates, and delays may occur due to factors beyond Printonic's control, including but not limited to production variability, third-party fulfillment partners, carriers, weather events, supply chain disruptions, customs, or force majeure events.

By using the Service, You acknowledge and agree that timely shipment or delivery is not guaranteed, and that delays do not constitute a breach of these Terms or grounds for damages, chargebacks, refunds, or penalties, except where required by applicable law.

7.2. No Offsets or Self-Help Deductions

Sellers may not withhold payment, offset invoices, deduct amounts, or apply credits based on refunds, chargebacks, delays, cancellations, lost sales, customer dissatisfaction, or alleged damages unless expressly authorized in writing by Printonic.

All disputes must be submitted through Printonic's designated support or dispute resolution process. Failure to submit a dispute does not excuse payment obligations or permit unilateral deductions. Printonic's response time or lack of response does not waive Seller payment obligations or authorize unilateral deductions.

7.3. Fulfillment Disclaimer and Liability Cap

  • Products are fulfilled exactly as designed and submitted by You. Printonic and its Third-Party Fulfillment Partners make no warranty or representation as to quality, durability, accuracy, or suitability.
  • Printonic is not liable for delays, misprints, loss, or damage caused during production or shipment.
  • Printonic's total liability for any claim related to fulfillment shall not exceed the total amount paid by You to Printonic for that specific order.

7.4. Risk of Loss and Title

Title to and risk of loss for each product pass to You (or, at Your direction, to Your customer) at the moment the product is tendered to the carrier at the production or fulfillment facility. From that point forward, the product travels at Your risk, and any loss, theft, misplacement, damage, or delay occurring in transit or after delivery is not the responsibility or liability of Printonic, except to the limited and voluntary extent expressly stated in Section 7.9.

7.5. Carriers and Delivery; No Liability for Carrier Delays

Once an order leaves the production or fulfillment facility, transit is performed by independent third-party carriers that Printonic does not own, operate, or control.

Printonic is not responsible or liable for carrier performance of any kind, including delivery speed, transit time, delays, mis-routing, missing or delayed tracking scans, service interruptions, mishandling, or failure to meet any estimated delivery date. Carrier delays, including those caused by weather, peak or holiday volume, strikes or labor actions, mechanical or logistical failures, customs, or force majeure, do not entitle You or Your customer to any refund, replacement, credit, reshipment, or other remedy from Printonic, and do not constitute a breach of these Terms. Any recourse for a carrier delay lies with the carrier and not with Printonic.

7.6. Proof of Delivery; Packages Marked Delivered but Claimed Not Received

Where a carrier's tracking record shows an order as delivered, that record is conclusive proof of delivery for all purposes under these Terms.

Printonic is not responsible or liable for, and will not refund, replace, credit, or reship, any order that a carrier reports as delivered but that the recipient claims not to have received (including packages that are misdelivered by the carrier to a correct address, lost, stolen, or misplaced after delivery). Responsibility for any post-delivery loss, theft, or "item not received" claim by an end customer rests solely with You. Your sole recourse for such an event, if any, is with the carrier or an applicable shipping-insurance provider, and not with Printonic. Printonic may, in its sole discretion, assist by providing available tracking records, but is under no obligation to investigate, refund, or reship.

7.7. Address Accuracy, Failed Delivery, and Returns

You are solely responsible for the accuracy and completeness of every shipping address submitted through the Service, whether entered by You or transmitted from Your connected sales channel or customer. Printonic is not responsible for orders that are delayed, misdelivered, returned, lost, or destroyed because of an incorrect, incomplete, undeliverable, or fraudulent address, because the recipient was unavailable, refused delivery, or failed to pay applicable charges, or because the package went unclaimed.

Reshipment of any order returned to sender, where offered at all, is at Printonic's sole discretion and may require You to pay additional production and shipping charges. Printonic is not obligated to store, hold, forward, or return returned packages and may dispose of them after a reasonable period without credit to You.

7.8. International Orders; Customs, Duties, and Restrictions

For orders shipped outside the United States, You and/or Your customer act as the importer of record and are solely responsible for all duties, taxes, VAT, customs fees, brokerage charges, and compliance with the destination country's import laws, restrictions, and documentation requirements.

Printonic is not responsible or liable for customs delays, inspections, holds, seizures, destruction, returns, or rejections, or for any package that is refused, unclaimed, or held by customs or the recipient. Printonic does not refund, replace, or reship orders that are delayed, seized, destroyed, returned, or refused by customs authorities or by the recipient. International transit times are estimates only and are frequently longer and more variable than domestic transit.

7.9. Damaged, Defective, or Lost Shipments; Claims and Remedies

(a) Claim Requirements. Any claim that an item arrived damaged, broken, defective, or materially not as designed must be submitted through Printonic's designated support process within seven (7) days of the delivery date shown by the carrier and must include clear photographic evidence of the item, the damage, the product label, and the outer packaging as received. Claims submitted after this window, or without sufficient evidence, may be denied. Printonic may require the affected item to be retained for inspection and may deny any claim where evidence is missing, altered, inconsistent, or indicative of abuse.

(b) Domestic Orders. For orders delivered within the United States that arrive damaged or defective due to a verified production or handling error, Printonic may, in its sole discretion, provide one of the following as Your sole and exclusive remedy: a reprint and reshipment, a replacement, store credit, or a partial or full refund. Printonic determines which remedy applies.

(c) International Orders (Breakage and Damage). For orders shipped outside the United States, Printonic will not reship or replace any item that is reported as damaged, broken, or defective on arrival. For such international orders, the sole and exclusive remedy is a partial or full refund, the amount of which is determined solely by Printonic based on the condition of the item as received and the supporting evidence provided. No reshipment or replacement will be issued for any international order in connection with breakage, damage, or transit condition under any circumstances.

(d) Lost Shipments. An order for which the carrier shows no delivery scan and that the carrier confirms as lost in transit may, at Printonic's sole discretion, be eligible for a reshipment or refund. This subsection does not apply to orders a carrier reports as delivered, which are governed exclusively by Section 7.6 and are not eligible for any remedy from Printonic.

(e) Discretion, Limits, and Finality. All remedy determinations under this Section are made in Printonic's sole discretion and are final. Any refund is limited to the amounts actually paid by You to Printonic for the affected item and, to the maximum extent permitted by law, excludes shipping charges, taxes, duties, retail margin, platform or payment fees, and any downstream or consequential loss. Provision of any remedy is a courtesy and is not an admission of fault or liability.

8. Chargebacks, Refunds, and Fraud Prevention

8.1. Refunds Are Discretionary

Except where a non-waivable law requires otherwise, all amounts paid to Printonic are non-refundable, and any refund, credit, replacement, or reshipment offered by Printonic is provided as a courtesy in Printonic's sole discretion and is not an admission of fault or liability. Printonic providing a remedy in one instance does not obligate it to provide the same or any remedy in any other instance and does not create a course of dealing, waiver, or entitlement. You remain solely responsible for any refund, credit, or settlement You choose to provide to Your own customers, and Printonic is under no obligation to fund it.

8.2. Chargebacks and Payment Disputes

You are solely responsible for all chargebacks, payment reversals, and disputes initiated by You, Your customers, or any payment provider in connection with orders placed through the Service, including any associated fees. Printonic may, to the maximum extent permitted by law:

  • Charge back, offset, deduct, or recover the disputed amount and any related fees from Your balances, wallet, payouts, or payment method on file;
  • Place holds on funds, payouts, or orders while a dispute or suspected fraud is investigated;
  • Suspend or terminate accounts with excessive, repeated, or abusive chargeback activity.

You agree not to initiate a chargeback or payment dispute for any charge that is valid under these Terms. Doing so is a material breach, and Printonic may recover the disputed amount together with its costs of response, including fees and reasonable attorneys' fees.

8.3. Fraud Prevention and Account Abuse

Printonic may monitor, investigate, delay, hold, decline, cancel, or reverse any order, payout, refund, or claim that it reasonably suspects to be fraudulent, abusive, unauthorized, or in violation of these Terms or applicable law, and may require identity, ownership, or payment verification before releasing funds or fulfilling orders.

Printonic may deny claims and remedies that reflect a pattern of abuse, including repeated or excessive damage, non-delivery, or not-as-described claims, claims inconsistent with carrier or production records, or claims Printonic reasonably believes are intended to obtain products, refunds, or reshipments without payment. You are responsible for all activity conducted through Your account, including by Your employees, agents, and customers, and for all resulting losses, including fraud, chargebacks, and unauthorized transactions. You agree to cooperate with Printonic's fraud and abuse investigations and to provide requested documentation.

8.4. Mandatory Claims Process; Waiver

All claims relating to an order, including damage, defect, loss, non-delivery, or not-as-described claims, must be submitted through Printonic's designated support process within the applicable window stated in these Terms and, where no other window is stated, within seven (7) days of the delivery date or, for non-delivery, within fourteen (14) days of the last carrier scan. Claims not submitted within the applicable window are waived. Printonic's determinations regarding claims and remedies are made in its sole discretion and are final. The remedies expressly stated in these Terms are Your sole and exclusive remedies for any order issue.

9. Payments and Fees

  • Printonic may charge production, fulfillment, processing, or platform fees.
  • All payments and fees are final and non-refundable unless otherwise required by law.
  • Printonic reserves the right to withhold, offset, or forfeit unpaid balances or commissions if Your account is under investigation or terminated for cause.
  • All invoices are due in full as issued unless disputed in writing and approved by Printonic.

9.1. Subscriptions

Printonic may offer subscription plans for platform access or premium features. If You subscribe:

  • Subscription fees are billed in advance on a recurring basis (e.g., monthly or annually) according to the plan You select.
  • You authorize Printonic (or its payment processor) to charge the payment method on file until You cancel.
  • You may cancel Your subscription at any time; cancellation will take effect at the end of the current billing period. No refunds are provided for partial billing periods or unused time.
  • Printonic may change subscription fees or plan features with reasonable notice. Continued use after the change constitutes acceptance.
  • Failure to pay subscription fees may result in suspension or termination of access to subscription-only features.

10. AI and External Models

The Service may include features that use artificial intelligence ("AI") powered by third-party models and providers (e.g., external AI services). By using such features, You acknowledge and agree that:

  • Content You submit in connection with AI features (e.g., product descriptions, prompts, or catalog data) may be processed and transmitted to these third-party providers to generate responses or outputs.
  • Printonic does not control the underlying AI models or third-party providers and makes no warranty regarding the accuracy, quality, legality, or appropriateness of AI-generated outputs.
  • You are solely responsible for reviewing and verifying any AI-generated content before using it in listings, marketing, or otherwise; You may not rely on AI outputs as legal, tax, or professional advice.
  • AI features are provided "AS IS" and may be modified, limited, or discontinued at Printonic's discretion. Availability and behavior of third-party AI services may change without notice.

Use of AI features is subject to the Privacy Policy regarding how we and our providers handle data.

11. Account Termination

Printonic may suspend or terminate Your account at any time, with or without notice, for:

  • Violation of these Terms or any applicable law;
  • Verified or repeated IP infringement;
  • Fraudulent activity or misuse of the platform;
  • Any conduct deemed harmful to Printonic's business or reputation.

Termination is final, non-refundable, and may include forfeiture of pending payments.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Printonic shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost goodwill, or reputational harm;
  • Printonic's total cumulative liability under any claim shall not exceed $100 USD or the total amount paid by You to Printonic within 30 days prior to the event, whichever is lower.

13. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE."

Printonic makes no warranties, express or implied, regarding:

  • Merchantability, fitness for a particular purpose, or non-infringement;
  • The reliability, timeliness, or availability of Third-Party Fulfillment;
  • The accuracy or legality of Content provided by users;
  • Any production or delivery timelines displayed on the Service are provided without warranty and are subject to change.

You use the Service at Your own risk.

14. Force Majeure

Printonic is not liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, weather, fire, flood, epidemic or pandemic, war, terrorism, civil unrest, labor disputes or strikes, governmental or customs action, carrier or supplier failures, material or equipment shortages, utility, network, hosting, or telecommunications failures, cyberattacks, or other force majeure events.

During any such event, Printonic's obligations are suspended for the duration of the event, and no such event entitles You or any customer to a refund, credit, replacement, reshipment, or damages.

15. Indemnification

In addition to Section 4.2, You agree to defend, indemnify, and hold harmless Printonic and its officers, directors, managers, employees, affiliates, contractors, and Third-Party Fulfillment Partners from and against any and all claims, demands, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your products, listings, Content, or business;
  • Any order placed through the Service, including shipping, delivery, damage, loss, non-delivery, refund, or chargeback disputes with Your customers;
  • Your breach of these Terms or violation of any law or third-party right;
  • Taxes, duties, or fees for which You are responsible;
  • Any act or omission of You, Your customers, or Your personnel.

This obligation is immediate, is in addition to any other indemnity in these Terms, and survives termination of Your account.

16. Governing Law, Arbitration, and Time Limitation on Claims

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles.

Any dispute arising from or related to these Terms shall be resolved by binding arbitration in Teton County, Wyoming, under the rules of the American Arbitration Association (AAA).

You waive any right to a jury trial or participation in any class or collective action.

Time Limitation. Any claim or cause of action arising out of or related to the Service or these Terms must be commenced within one (1) year after the claim accrues; otherwise it is permanently barred, to the maximum extent permitted by law.

17. Amendments

Printonic may amend or update these Terms at any time by posting the revised version on the platform.

Your continued use of the Service after such posting constitutes acceptance of the new Terms.

18. Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be enforced to the maximum extent permitted by law.

19. Miscellaneous

  • No Waiver. Printonic's failure to enforce any provision of these Terms is not a waiver of that or any other provision or of Printonic's right to enforce it later.
  • Assignment. You may not assign or transfer these Terms or any rights or obligations under them without Printonic's prior written consent, and any attempted assignment without consent is void. Printonic may freely assign these Terms, including in connection with a merger, acquisition, reorganization, or sale of assets.
  • Survival. Any provision that by its nature should survive termination will survive, including Sections 2, 3, 4, 6, 7.2 through 7.9, 8, 9, 11, 12, 13, 14, 15, 16, and 19.
  • Notices. Legal notices to Printonic must be sent to legal@printonic.com. Printonic may provide notices to You by email to the address on Your account, by posting on the platform, or through the Service.
  • Headings. Section headings are for convenience only and do not affect interpretation.

20. Entire Agreement

These Terms, along with the Privacy Policy and any supplemental agreements, constitute the entire agreement between You and Printonic, superseding all prior understandings or representations. In the event of a conflict regarding fulfillment risk, shipping, damage, refunds, or claims, this document controls unless a later signed writing expressly states otherwise.
